Company formation is part of the package of services we provide to our clients. We help our clients in registering trade names, company names, in procuring investment permits, business license and registration, document preparation and authentication and all other activities required for incorporation of companies in Ethiopia. After formation, we usually provide board/company secretarial services which includes managing board and shareholder meetings, preparing minutes of meetings, keeping regular records of minutes, and shareholder records, following up registration of minutes, etc.

We prepare various types of documents. Primarily we draft memorandum of association and articles of association for our clients. These documents are a formality for a wholly owned company. On the other hand for companies with multiple shareholders with significant shares, we draft a carefully balanced corporate constitution that can serve in creating efficient governance arrangement at the same time protecting a minority shareholder from exploitation. We also draft share purchase agreement, shareholder agreement and various other resolutions.
